PREAMBLE

The Mohegan Pequot Model Railroad Club is established for the membership to share and promote a common interest in model railroading as a hobby, to further its development and to improve on modeling techniques and materials in all scales. Further, to preserve railroad history in miniature, and to preserve and restore items no longer in commercial manufacture, as well as educating the public on railroad topics.

ARTICLE I - NAME

The name of the club shall be known as the Mohegan Pequot Model Railroad Club Inc.

ARTICLE II - MEMBERSHIP

Membership is open to anyone interested in model railroading in any scale.

There are four types of Memberships:

CHARTER: Original members of the club at the time of its formation.

REGULAR: Any Member, male or female, over the age of 18.

JUNIOR: Any Member not over age 18.

FAMILY: Any group of members who are legally related to each other.

Each Member shall have an equal voice in determining the resolution of issues and affairs of the organization and in electing a body of governing officers.

All junior members must have a club member sponsor to join the club.

Membership may be revoked if a member demonstrates conduct detrimental to the club. A majority vote of the elected officers is required to revoke membership.

ARTICLE IV - DUES

Dues shall be payable for all members in the month of January. The dues amount and types shall be determined by a vote at the November business meeting. Dues for new members shall be pro-rated to the month they join.

ARTICLE V - OFFICERS

Officers shall be elected annually by ballot for the term of two years.Officers shall consist of: PRESIDENT, VICE PRESIDENT, SECRETARY, and TREASURER.

ARTICLE VI - DUTIES OF OFFICERS

(a) PRESIDENT: The president shall be responsible for scheduling activities to be performed at the Meetings, and conducting the business meeting. He will also be in contact with other clubs to coordinate joint efforts for meets, displays and other functions.

(b) VICE PRESIDENT: The vice president shall take charge in the absence of the President. Should it be necessary for the president to resign for any reason, the vice president shall assume the office of president for the remainder of the term and a successor will be elected to the position of vice president no later than the second meeting following the resignation. The vice president shall be the "property officer" for the club and shall maintain a record of all club property.

(c) SECRETARY: The secretary shall keep minutes of all meetings, copies of all official club correspondence, and will also keep and up-to-date roster of all members, their mailing addresses, email addresses and telephone numbers.

d) TREASURER: The treasurer shall collect all dues and pay all just and lawful bills presented and voted on by a majority of the members present.

ARTICLE VII - ELIGIBILITY FOR OFFICE

Any member is eligible as a candidate for any office provided that the age of majority has been reached and continuous membership has been maintained for one year.

ARTICLE VIII - ELECTION OF OFFICERS

The president shall appoint a Nominating Committee at the February business meeting. This committee shall present a slate of nominees at the March business meeting. Nominations for all offices will be taken from the Committee and the floor. The March business meeting shall be for the nomination and election of officers for the ensuing year. The President and Secretary will be voted on in even number years. The Vice President and Treasurer will be voted on in odd number years.

ARTICLE IX - COMMITTEES

The president shall appoint the following as soon as possible after being elected: Newsletter Editor; Publicity Chairman; Module Committee, and other committees as deemed necessary to conduct the club's business.

ARTICLE X – MEETINGS

The club will have at least one meeting per month. The first meeting shall be a business meeting. The second optional meeting shall be a general meeting. The dates and location of the meeting will be determined at the March meeting by the incoming slate of officers. Additional meetings and changes in place or time may be directed by elected officers as required.

ARTICLE XI – CLUB PROPERTY

Club members entrusted with Club property are obligated to return that property if their membership lapses. Each member is held responsible for club property in his or her possession and in the event of loss or damage through carelessness or neglect. Restitution will be required. Ordinary wear and tear is expected. Members may not remove club property without the consent of the officers or their delegates.

ARTICLE XII – CONDUCT OF MEETINGS

All business meetings shall be conducted by Robert's Rules of Order. A Parliamentarian shall be appointed by the president.

ARTICLE XIII – CHANGES TO THE BY-LAWS

Changes to the by-laws can be proposed by any member in good standing. At least a two-thirds majority vote by the members present will be required to make any changes in the by-laws, after said changes have been published in the newsletter one month prior to being voted on.

ARTICLE XIV – CLOSING OF THE CLUB

Should the club close, disposal of assets and property shall be decided by a vote of the members. Theclosure notice shall be published in the newsletter one month prior to closing.
